Paul Hill is a professional investor, capital markets commentator & equity analyst with more than 30 years experience.  Founder of PMH Capital, Paul was the final stage prize winner for ‘Portfolio Construction Theory’ in the 2012 ‘Chartered Institute for Securities & Investment’ exams.

Cohort plc (www.cohortplc.com) is the parent company of six innovative, agile and responsive businesses based in the UK, Germany and Portugal, providing a wide range of services and products for domestic and export customers in defence and related markets.

Cohort (AIM: CHRT) was admitted to London’s Alternative Investment Market in March 2006. It has headquarters in Reading, Berkshire and employs in total over 1,300 core staff there and at its other operating company sites across the UK, Germany, and Portugal.

Simon Walther, Finance Director
After graduating with a BSc in Toxicology and Pharmacology from University College London, Simon went on to qualify as a Chartered Accountant with Touche Ross in 1992. Simon moved to the Peninsular and Oriental Steam Navigation Company (P&O) in 1993 where he was appointed as Chief Accountant for P&O European Ferries in 1995. He has over 25 years’ industry-relevant experience, with previous senior finance roles at Alvis and BAE Systems.

Company Presentation – Time To ACT plc

Time To ACT plc (TTA) is an engineering led Group focused on technology in the energy transition sector. It currently has two principal operating divisions; Diffusion Alloys and GreenSpur.

Diffusion Alloys is a coatings company that offers coating services and coating technology to customers who operate in Blue Hydrogen, Green Hydrogen, Nuclear and many other sectors. GreenSpur is an intellectual property creator and generator designer that has developed a credible solution in renewable energy applications to the Rare Earth magnet problem.

TTA acts as the holding company for the Group, provides strategic and operational support to the operating companies and also capital to enable their growth.

It is the Directors’intention to grow the Group both organically and through the potential acquisition of companies or businesses with complementary technologies in the cleantech sector. Such acquisitions could be of both established and early-stage businesses, as well as intellectual property which would benefit the Group and its strategic aims.

TTA was admitted to the Aquis Stock Exchange Growth Market on 29th May 2024 in what marked a significant milestone for the Group.

Gary Wallace, Chief Financial Officer
Gary is an award-winning ICAEW Chartered Accountant with a degree in Accounting and Finance from Teesside University. Gary trained at a leading independent firm of Chartered Accountants and Business Advisers, Clive Owen LLP, where he specialised in audit, financial reporting, corporation tax and advising a wide range of SME’s. Gary has previously worked at Venator Materials plc, a global chemical company listed on the New York Stock Exchange with annual turnover of ~$2b and Boasso Global, a private equity backed business operating a buy and build strategy in ISO tank transportation and depot services across the UK and Continental Europe. Gary has been a non-executive director, chairman and subsequently a member of an Academy Trust in the Northeast of England. Gary joined Time To ACT in late 2021 and is a Director of all Time To ACT group companies as well as being Company Secretary.

 

Chris Heminway, Executive Chairman
Chris graduated from the University of Leicester with a degree in Law with French including a Diplôme d’Etudes Juridiques Françaises awarded by the University of Strasbourg. Chris’ 38-year career has included working as a number-one rated equity analyst, investment banker, advisor, consultant and business owner. His experience predominantly straddles the financial and engineering industries. He was a managing director for Lehman Brothers (Europe) Limited before leaving the business in 2005. Since exiting the financial services industry, he has been predominantly self-employed in various advisory and industrial board roles. Chris has concentrated in these roles on developing the strategic expertise applicable within numerous segments of the industrial manufacturing and industrial technology sectors and has been an active proponent of renewable and clean energy solutions for over 20 years.

Company Presentation – True Royalty

True Royalty (TRTV) is the world’s first and only subscription on-demand streaming TV channel (SVOD) dedicated to all things Royal;  the British Royal Family today and throughout history, as well as monarchies all around the world. 

The business was founded by Royal experts and insiders with unique credentials, drawing on unmatched access, experience, insight and enduring relationships.

TRTV is capitalising on the streaming revolution that has fundamentally changed how content is consumed. On-demand streamed TV has now surpassed linear TV (Aluma), more hours are being viewed through streaming than cable TV in the US (Nielsen) and this year Americans will spend more on streaming TV subscriptions than on cable / pay TV (Insider Intelligence). In the US market Specialty Streaming channels, dedicated to specific interests to serve the superfan, are experiencing explosive growth (2019-2023: +43% CAGR), having seen 32M unique subscribers enter the market in the last 4.5 years (Antenna). 

TRTV was established in 2018 and has secured distribution agreements launching the channel on Comcast Xfinity, Roku, Sling TV, Cox Contour and very importantly, Amazon Prime Video Channels. A survey confirmed that tens of millions of Americans are interested in Royal content and likely or very likely to subscribe to a dedicated Royal TV channel. True Royalty TV is set to scale.

In 2023, TRTV reached 100,000 paying subscribers and $3,400,000 in annual recurring revenue. The current raise is for $5m which will allow the company to nearly double annual recurring revenue to $6.6m and reach breakeven. 

The total capital requirement over the next 3 years in order to execute our plan to reach 2m subscribers and $100m in revenue is $20m. We currently anticipate this to be through both debt and equity. It is anticipated that the large streamers (e.g. Netflix, Disney, Apple, Amazon, WBD, Paramount) will enter a period of significant consolidation over the next 2-3 years. Specialty channel brands will be attractive acquisition targets to help them differentiate, just as specialty pay TV channels were in the late 1900’s. TRTV will be in prime position.
